World Cup Additional Terms and Conditions

These terms and conditions apply to all Ticket Orders made with Empire Tickets for the World Cup 2010 in South Africa by an individual or corporate or other entity (hereafter referred to as the Client) and are in addition to Empire Tickets general terms and conditions for ticket purchases.

1. NON-AFFILIATION:
The Client is aware that Empire Tickets is an independent intermediary acting in the secondary market. Empire Tickets is in no way affiliated with, connected to or cooperating with FIFA, MATCH Services or MATCH Hospitality nor is a Participating Tour Operator under the 2010 FIFA World Cup Tour Operator Programme managed by MATCH Services. Empire Tickets is not an official ticket distributor of the 2010 FIFA World Cup nor has attempted to represent themselves as such.

2. PAYMENT:
Client's payment must be made by wire transfer or credit card (Visa, MasterCard, or American Express). All payments are non-refundable. Failure to have made correct payment to Empire Tickets on the due date as set out in the Ticket Order, constitutes material breach of contract and the Ticket Order will automatically be cancelled by Empire Tickets without prejudice to any other remedy it may have.

3. PRICE:
All tickets are sold at face value plus an additional amount representing the fair compensation for the costs, financial risk, work and difficulties involved in obtaining the required seating at the 2010 FIFA World Cup. All prices are inclusive of this additional charge.

4. ORDER GURANTEE:
All tickets sold by Empire Tickets are guaranteed authentic. All tickets sold by Empire Tickets will be delivered according to specifications in order and terms and conditions. In case of failure by Empire Tickets to deliver according to above and according to our terms and conditions for any reason, Empire Tickets will pay and return a sum equal to 100% of any deposits and/or payments for undelivered tickets.

5. DELIVERY:
Empire Tickets will deliver the tickets according to these Terms and Conditions and the Order Guarantee.

Due to security reasons 2010 FIFA World Cup prints and distributes tickets no earlier than a few weeks prior to the game. Therefore the tickets will normally be sent by post or courier approximately 7-10 days prior to the relevant game. The Client accepts that due to possible delays, Empire Tickets have the right to deliver tickets up to 24 (twenty-four) hours before the relevant game.

If Empire Tickets has not sent the tickets by post or courier by the end of the seventh (7.) day before the relevant game, the Client can up until four (4) days before the relevant game provide Empire Tickets with a local address / hotel address in the city of the relevant game in South Africa where the Client will pick up the tickets, see clause 6 below.

6. CONTACT DETAILS:
The Client shall by email or fax provide Empire Tickets with any change of contact details, including whereto the tickets shall be sent, after the date of the Ticket Order. See also clause 5 above regarding local delivery address in South Africa. Such change of contact details shall be sent by email: sales@empiretickets.com or by fax: +1-404-467-0937. It is the Client's reponsibilty to confirm that their revised contact information has been received by Empire Tickets.

Empire Tickets is not responsible for the Client's non-receipt of tickets or returned tickets due to lack of information from the Client.

7. REQUIRED INFORMATION:
The parties acknowledge and accept that for security reasons it is essential that the name, address and passport number of each ticket user shall be available for the relevant policing authorities. Empire Tickets shall have the right to demand such information and the Client shall upon such demand immediately furnish Empire Tickets with the requested information. Client's failure to provide requested information will result in the non-delivery of ordered tickets, and all payments made by the Client shall be non-refundable.

8. ENTRANCE TO THE MATCHES:
Empire Tickets urge the Client and all ticket holders to read FIFA's terms and conditions for the 2010 FIFA World Cup as may be found on www.fifa.com.

Empire Tickets assumes no responsibility for ticket holders being refused entry to a stadium/match due to non-compliance by the Client with the terms and conditions set by FIFA for entry to the stadiums.

9. RESTRICTIONS ON USE:
Use of the tickets for promotional activities, such as, but not limited to games, lottery or competitions, is prohibited. The Client undertakes to inform each of the final ticket users of this limitation.

10. NO RESPONSIBILITY FOR SUPPLIERS:
Empire Tickets undertakes no responsibility for its suppliers' compliance with applicable law and/or the terms and conditions under which the tickets were acquired.

11. INDEMNIFICATION:
The Client shall indemnify and hold harmless Empire Tickets and each of its employees and directors from and against all or any claims, liabilities, costs, damages and expenses (including reasonable legal expenses) by reason of or arising out of Empire Tickets' provision of tickets to Client which its suppliers have provided or sold to Empire Tickets or through Empire Tickets in breach of contract with FIFA, MATCH Services, MATCH Hospitality and/or other official agents or in violation of applicable law.

12. NO LIABILITY:
Empire Tickets provides tickets only, and shall not be held liable for or pay any form of compensation in the event of postponement of a game or cancellation of entire or parts of games or the entire tournament. In cases of loss or theft or similar, the tickets will not be replaced or reimbursed by Empire Tickets.

To the extent permitted by law, Empire Tickets hereby excludes all other warranties, conditions and representations than those expressly provided herein. Empire Tickets shall in no event be liable for any indirect loss or damage and Empire Tickets' liability shall not exceed the payment made for the relevant Ticket Order.

13. UK World Cup Sales:
Empire Tickets does not sell tickets for the 2010 World Cup to residents residing within the United Kingdom. All orders placed in violation of the British Anti-Touting laws will be immediately cancelled and all monies returned.

14. LAW AND JURISDICTION:
The relationship between Empire Tickets and the Client shall be governed by and interpreted in accordance with Georgia State law in the United States, and the parties agree that Georgia State courts shall have exclusive jurisdiction to settle any dispute between the parties.
